(January 15, 2015) Moderna inks agreement with Merck to develop mRNA-based antiviral vaccines and passive immunity therapies
Moderna Therapeutics announced a license and collaboration agreement with Merck, known as MSD
outside the United States and Canada, through a subsidiary, for the discovery and development of vaccines
and passive immunity treatments against viral diseases using modified messenger RNA (mRNA).

Moderna is a pioneer in the development of mRNA Therapeutics across a range of therapeutic applications.
Moderna’s work in the collaboration will be led by Valera,
its venture focused on the development of mRNA vaccines and therapeutics to fight infectious disease.

The three-year research collaboration (with the possibility of a one-year extension)
is focused on the development of new mRNA-based treatments and vaccines against four undisclosed viruses.
Under the terms of the agreement, Merck will make an upfront cash payment to Moderna of $50 million
to give Merck the ability to utilize the granted licenses to commercialize five product candidates,
and will make a $50 million equity investment in Moderna. This is in addition to the $450 million
financing from other investors previously announced on January 5, 2015.

Merck will lead the discovery and development of candidates and commercialization of any products resulting from this license
and collaboration agreement, while Moderna will design and synthesize the messenger RNA product candidates directed against selected targets.
In addition to the license and collaboration announced today with Merck, Moderna has ongoing strategic agreements
with Alexion Pharmaceuticals in the area of rare diseases, AstraZeneca in cardiovascular disease and some areas of oncology, and DARPA
(the Defense Advanced Research Projects Agency) in biodefense.

Valera LLC, the second venture company formed by Moderna, is focused exclusively on the advancement of vaccines

NIH and Moderna agreed to transfer materials to a coronavirus scientist at the University of North Carolina
for animal testing in an agreement executed December 16, 2019.
Notably, the materials were described as “mRNA coronavirus vaccine
candidates developed and jointly-owned by [NIH] and Moderna.”
This likely refers to work done on an earlier coronavirus, MERS-CoV.
It nonetheless provides further evidence that the federal government was developing coronavirus candidates with Moderna that it jointly owned.

(September 4, 2020) 'Bad Optics' Or Something More? Moderna Executives' Stock Sales Raise Concerns
Since January, CEO Stéphane Bancel has sold roughly $40 million worth of Moderna stock held by himself or associated investment funds;
Chief Medical Officer Tal Zaks has sold around $60 million; and President Stephen Hoge has sold more than $10 million.
No clear evidence has emerged indicating that executives sold stock based on confidential internal information, which would be illegal.

Moderna says its executives pre-scheduled their stock sales long in advance.
Those schedules - known as 10b5-1 plans - can act as a defense to charges of insider trading.
But the plans have to be put in place when executives do not have confidential inside information.

NPR has found multiple executives adopted or modified their plans just before key announcements about the company's vaccine.
That has raised questions about whether they were aware of nonpublic information when they planned their stock trades.

NPR asked Jordan why Moderna executives modified their 10b5-1 plans just before major announcements.
Initially, Jordan said by email, "I believe you must have your dates wrong."
NPR then provided documentation of those dates from the company's official disclosures to the government, which Jordan did not dispute.
Jordan then said that even though multiple Moderna executives changed their 10b5-1 plans
within one business day of announcements, the company had determined that those executives did
not have "material nonpublic information" - a key term for insider trading - when they made those changes.

All samples came out to be negative for the presence of SARS-CoV-2 genomes with the exception of March 12, 2019,

The sequence (SARS-CoV-2_Milan_Dec2019 [GenBank accession no. MW303957]) was identified in a specimen collected from a 4-year-old boy
who lived in the surrounding area of Milan and had no reported travel history.
On November 21, the child had cough and rhinitis; about a week later (November 30),
he was taken to the emergency department with respiratory symptoms and vomiting.
On December 1, he had onset of a measles-like rash; on December 5 (14 days after symptom onset),
the oropharyngeal swab specimen was obtained for clinical diagnosis of suspected measles.
This patient’s clinical course, which included late skin manifestations,
resembles what has been reported by other authors; maculopapular lesions
have been among the most prevalent cutaneous manifestations observed during the COVID-19 pandemic,
and several studies have noticed a later onset in younger patients.

(November 16, 2015) Ralph S. Baric, an infectious-disease researcher at the University of North Carolina at Chapel Hill,
last week (November 9) published a study on his team’s efforts to engineer a virus with the surface protein of the SHC014 coronavirus,
found in horseshoe bats in China, and the backbone of one that causes human-like severe acute respiratory syndrome (SARS) in mice.
The hybrid virus could infect human airway cells and caused disease in mice, according to the team’s results, which were published in Nature Medicine.

Baric’s study on the SHC014-chimeric coronavirus began before the (2014) moratorium was announced,
and the NIH allowed it to proceed during a review process, which eventually led to the conclusion
that the work did not fall under the new restrictions, Baric told Nature.
But some researchers, like Wain-Hobson, disagree with that decision.

Still, his group has recently been tweaking the genes of the MERS virus. So is he making it more dangerous?

(March 15, 2016) UNC Epidemiology Study: New SARS-Like Virus May Be Nearly Ready to Infect Humans
A study led by researchers at the University of North Carolina at Chapel Hill found that a SARS-like virus
known as WIV1-CoV, which is found in horseshoe bats, could bind to the same receptors as SARS-CoV and replicate in human cells without the need for adaptation.
Thought to be a critical barrier, the results indicate that bat populations maintain SARS-like viruses poised to reemerge in humans.
The research team worked with both full length and chimeric versions of WIV1-CoV. The virus readily and efficiently replicated in cultured human airway tissues, suggesting and ability to potentially jump directly to humans.
While other adaptations may be required to produce an epidemic,
several viral strains circulating in bat populations have already overcome
the barrier of replication in human cells and suggest reemergence as a distinct possibility.

Reported studies were initiated after the University of North Carolina Institutional Biosafety Committee approved the experimental protocol:
project title: Generating infectious clones of Bat SARS-like CoVs; lab safety plan ID: 20145741; schedule G ID: 12279.
These studies were initiated before the US Government Deliberative Process Research Funding Pause on Selected Gain of Function
Research Involving Influenza, MERS, and SARS Viruses
and the current paper has been reviewed by the funding agency, the National Institutes of Health (NIH).

(March 8, 2019) MSF expresses concern over CEPI’s revised Equitable Access Policy for not guaranteeing vaccines at affordable prices
The international medical humanitarian organisation Médecins Sans Frontières (MSF) has expressed concern and disappointment
over the Coalition for Epidemic Preparedness Innovations (CEPI)’s revised Equitable Access Policy which, the MSF stated,
constitutes an alarming step backwards for the organisation because it no longer guarantees that the vaccines CEPI funds will be made available at an affordable price.
CEPI was set up in the wake of the 2014-2016 Ebola outbreak as a novel public-health driven R&D mechanism to deliver vaccines
for emerging diseases with outbreak potential such as Ebola. And MSF was also involved in the initiative.

When CEPI was established, its interim board committed to a strong and visionary access policy to guarantee equitable access to CEPI- funded vaccines,
developed with the support of legal experts from WHO, Wellcome Trust and MSF. It contained important safeguards including enforceable commitments on pricing and intellectual property,
grounded in transparency and disclosure of information and knowledge. Regrettably, the Board failed to ensure the policy was implemented and used to shape access provisions in the contractual agreements
CEPI signed with developers. Instead, supposedly in response to industry actors’ dissatisfaction with the policy,
it immediately gave in on its founding principles and decided to revise the access policy, Dr Joanne Liu, MSF International president stated in the letter.

We were disappointed to learn that it was replaced by a vague, toothless and weak new policy in December 2018,

The initial findings from the investigation revealed that the respiratory illness cases were clustered in an Assisted Living and Skilled Nursing facility.
Cases diagnosed as pneumonia generally required hospitalization. Affected residents were very elderly with underlying medical conditions.
All testing at Inova Central Lab was negative for etiology, and no severe illness in Independent Living or among staff occurred.
Dr. Schwartz reviewed each step in the investigation, which included maps and floor plans of confirmed cases.
At the conclusion of the outbreak, there were 63 cases and 7 deaths. Among the fatalities, it is not clear how pneumonia
may have contributed to infection as most residents had other health conditions.

The game plays out 4 scenarios, but the Foundation does not state which outcome it prefers.

not in the severity of the pandemic), and it has its advantages for RF: "Larger philanthropies" - like the Rockefeller Foundation - will retain an outsized share of influence",

The exercise involves a scenario in which tourists returning from China spread a respiratory virus in the United States, beginning in Chicago.
In less than two months the virus had infected 110 million Americans, killing more than half a million.
The report issued at the conclusion of the exercise outlines the government's limited capacity to respond to a pandemic,
with federal agencies lacking the funds, coordination, and resources to facilitate an effective response to the virus.
